| THIS DEED OF INDEMNITY made at _______________ (city), the _____day of ________, Two Thousand Two between (1) ________________ (2) ___________________, Indian Inhabitants, residing at _________________ hereinafter referred as the said OBLIGORS (Which expression shall unless it be repugnant to the context or meaning thereof, be deemed to mean and include their respective heirs, executors and/or administrators) of the ONE PART and the _________________, hereinafter referred to as the said society registered under the Co-operative Societies Act, 1960 having its registration No. _________________ of 20__ and having its registered office at ____________________, _____________ (city), hereinafter referred to as the said OBLIGEE (Which expression shall, unless it be repugnant to the context or meaning thereof be deemed to mean and include its successor or successors) of the OTHER PART |

| Whereas the said obligors herein, were the joint members of the ________________ had equal right, title, interest in the Flat bearing No. ___ on _____ floor along with the car park in the building known as _____________ of the said Society. |

| And whereas the said Obligors were in possession of the aforesaid flat No. ___ along with a garage and were jointly allotted share certificates No. __ in respect of five shares of Rs.50/- each shares bearing No. __ to ___(both inclusive) by the __________________ (hereinafter referred to as the said Shares). |

| And whereas the said Obligors out of natural love and affection gifted their right, title and interest in the said shares and the said flat along with garage to the said _____________ vide a gift deed dated ______________. |

| And whereas by Virtue of the aforesaid Gift the aforesaid _____________ has become the sole owner of the said flat bearing No. ___ and a garage and the Obligors have requested the Oblige to admit and acknowledge the said ___________ as the Sole member as well as the allottee of the said shares. |

| And whereas to safeguard the Oblige from any kind of adverse claim, the said Obligors are executing this Deed of Indemnity. |

| NOW THIS INDENTURE WITNESSETH that in consideration of the Oblige Society, accepting the said _____________ as the sole member of the aforesaid flat and the car park the said Obligors DO and each of them DO hereby covenant with the Oblige Society that the said Obligors shall and will indemnify and keep the said Oblige Society fully and effectively indemnified from and against all claims demands, actions, suits and or proceedings that may be made or taken by any person, body or authority claiming any interest in respect of the aforesaid flat and a garage or shares and against all loss or damage that may be caused to and or cost, charges and or expenses that may be suffered or incurred by the said Oblige Society as regards the said flat and the said garage. |
